The rules of the game, readable.

01Purpose

These terms govern access to and use of the ItemScale platform, an online equipment inventory management service, together with the associated services: installation on a private server, training and data migration.

Creating an account constitutes full acceptance of these terms by the customer organisation and by each of its users.

02Account and organisation

Signing up creates an organisation whose creator becomes its organisation admin. That person invites the other users and assigns them a role: organisation admin, site manager, technician or standard user.

Each user is responsible for keeping their credentials confidential. It is up to them to choose a strong password and not to reuse it elsewhere. Any action taken from an account is deemed to have been taken by its holder.

03Plans and trial

The Free plan is free with no time limit, within the limits stated on the Pricing page. A fourteen-day trial of the Pro plan is offered on sign-up, with no payment method required and no automatic renewal: at the end of it, the account moves to the Free plan if no subscription has been taken out.

Moving to a higher plan takes effect immediately. Moving to a lower plan takes effect at the next period; if the inventory then exceeds the limits of the new plan, existing records remain readable and exportable, but the creation of new records is suspended until the situation is regularised.

04Prices and billing

Prices are shown in CFA francs, excluding applicable taxes. Subscriptions are payable in advance, monthly or yearly. A yearly commitment gives two months free.

Payment is made by Orange Money, MTN Mobile Money or bank card, through our payment provider. For organisations that ask for it, payment by transfer against a quote can be arranged with the team.

In the event of non-payment, a reminder is sent to the organisation admin. Failing regularisation within fifteen days, access to the paid plan's features is suspended; the data remains stored and exportable for ninety days.

05Service availability

We use reasonable means to keep the platform continuously available, subject to scheduled maintenance, announced in advance where it is likely to interrupt the service.

Offline mode and installation on a private server, available on the Business plan, allow operations to continue during a network outage; synchronisation resumes automatically when the connection is restored.

06Ownership of the data and of the service

The data entered by the customer organisation — asset records, photos, documents, histories — remains its exclusive property. ItemScale claims no right to exploit it and accesses it only to the extent strictly necessary to provide the service or to answer a support request.

The platform, its code, its interfaces, its brand and its graphic elements remain the property of its publisher. A subscription grants a personal, non-exclusive and non-transferable right of use for the duration of the subscription.

07Prohibited uses

The customer organisation undertakes not to:

• attempt to access another organisation's data or to circumvent the isolation mechanisms;
• resell, sublet or make access to the platform available to third parties without written agreement;
• subject the service to abnormal automated load;
• store unlawful content on it, or content unrelated to equipment management.

08Liability

ItemScale is a management aid: operational, maintenance and regulatory compliance decisions rest with the customer organisation, which remains responsible for the accuracy of the information it enters.

The publisher's liability, on any ground whatsoever, is limited to the amounts actually paid under the subscription during the twelve months preceding the triggering event. No limitation applies in the event of gross negligence or wilful misconduct.

09Termination

The customer organisation may terminate its subscription at any time from the application; termination takes effect at the end of the current period, with no refund of the elapsed portion.

Before any deletion, a complete extract of the data is made available in Excel and PDF formats. The publisher may terminate an account in the event of a serious breach of these terms, after a formal notice that has remained without effect for fifteen days.

10Governing law and contact

These terms are governed by Cameroonian law. The parties will seek an amicable solution before any legal action; failing that, the dispute will be brought before the competent courts of Douala.
